1. Acceptance of Terms

By using our Site or Services in any manner, including but not limited to browsing the Site, creating an account, placing a food order, subscribing to communications, or engaging with any interactive feature, you represent and warrant that:

  • You have the legal capacity and authority to enter into this Agreement;
  • You are accessing the Site from within the United States or are otherwise subject to U.S. law;

If you are using the Services on behalf of an organization, company, or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall mean both you individually and such entity.

These Terms are entered into in accordance with applicable laws of the United States, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and all applicable state consumer protection statutes. Via 313 reserves the right to amend these Terms at any time, and your continued use of the Services after any modification constitutes your acceptance of the revised Terms.

2. Description of Services

Via 313 operates as a food business offering customers the ability to browse menu offerings, place food orders, and access related food service content through the Site at meal-via313.digital. Our Services may include, but are not limited to:

  • Online Ordering: The ability to browse our food menu and place orders for pickup, delivery, or dine-in, depending on availability and location.
  • Account Management: User registration and account creation to manage orders, preferences, and order history.
  • Promotional Content: Access to deals, promotional offers, loyalty programs, and special menu items as made available from time to time.

3. User Obligations and Prohibited Activities

3.1 User Responsibilities

As a user of our Services, you agree to:

  • Maintain the security and confidentiality of your account credentials;
  • Promptly notify Via 313 of any unauthorized use of your account or any other security breach;

  • Provide valid payment information and ensure sufficient funds or credit availability when placing orders.

3.2 Prohibited Activities

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
  • Place orders with no intention of completing payment or receiving the food;

  • Use any automated tools, bots, scrapers, crawlers, or similar means to access, collect, or copy data from the Site without our prior written consent;
  • Interfere with or disrupt the integrity or performance of the Site or any associated networks;
  • Upload or transmit any viruses, malware, or other malicious code or programs that could damage or interfere with our systems or the systems of third parties;
  • Harvest or collect personal information about other users without their express consent;
  • Use the Site to send unsolicited communications, spam, or chain messages;
  • Engage in any activity that could damage, disable, overburden, or impair our servers or networks;
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software underlying the Site;

  • Engage in any conduct that restricts or inhibits any other user from using or enjoying the Site.

Via 313 reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including reporting such violations to law enforcement authorities and terminating or suspending the offending user's account without notice.

4. Account Registration and Security

Certain features of our Services may require you to register for an account. When you create an account with Via 313, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of these Terms.

You are solely responsible for safeguarding the password associated with your account and for all activities that occur under your account. You agree not to disclose your password to any third party. You must notify us immediately at [email protected] upon becoming aware of any breach of security or unauthorized use of your account.

Via 313 will not be liable for any loss or damage arising from your failure to comply with this section. You may be held liable for losses incurred by Via 313 or others due to such unauthorized use.

5. Intellectual Property Rights

5.1 Ownership of Content

The Site and all of its content, features, and functionality — including but not limited to text, graphics, logos, photographs, images, audio and video clips, digital downloads, data compilations, menu designs, trade dress, software, and the overall look and feel of the Site — are the exclusive property of Via 313 or its content suppliers and licensors, and are protected by United States copyright, trademark, trade dress, patent, trade secret, and other applicable intellectual property laws.

These Terms do not grant you any right, title, or interest in or to the Site or any content on the Site, except for the limited license expressly set forth herein. All rights not expressly granted are reserved by Via 313.

5.2 Limited License

Subject to your compliance with these Terms, Via 313 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Services solely for your personal, non-commercial purposes. This license does not include the right to:

  • Reproduce, distribute, display, or create derivative works based on any content on the Site;
  • Use any data mining, robots, or similar data gathering tools;
  • Download or copy account information for the benefit of any third party;
  • Use the Site or its content for any commercial purpose without our express written consent.

5.3 Trademarks

The Via 313 name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Via 313 or its affiliates or licensors. You must not use such marks without the prior written permission of Via 313. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

5.4 User-Submitted Content

If you submit, post, or transmit any content to the Site, including reviews, feedback, photos, or suggestions ("User Content"), you grant Via 313 a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or have the necessary rights to grant this license and that your User Content does not infringe any third-party rights.

6. Payment Terms

6.1 Pricing and Fees

All prices displayed on the Site are in U.S. dollars and are subject to change without prior notice. Prices for menu items, delivery fees, service charges, and applicable taxes will be clearly presented at the time of checkout. Via 313 reserves the right to modify pricing at any time at its sole discretion.

6.2 Payment Processing

By placing an order, you authorize Via 313 and/or its designated third-party payment processors to charge the payment method you provide. You represent and warrant that you are authorized to use the payment method and that the payment information you provide is accurate and complete. Via 313 uses industry-standard security measures and partners with reputable payment processors; however, we are not responsible for errors or failures attributable to third-party payment systems.

6.3 Order Confirmation

Receipt of an order confirmation does not constitute our acceptance of your order. Via 313 reserves the right to refuse, limit, or cancel any order at any time and for any reason, including but not limited to product or service unavailability, inaccuracies in pricing or descriptions, or suspected fraudulent activity. If your order is cancelled after payment has been processed, you will receive a full refund to your original payment method.

6.4 Refunds and Cancellations

Refund and cancellation eligibility will be determined in accordance with our separate Refund Policy, which is incorporated by reference into these Terms. Generally, due to the perishable nature of food products, all sales are final once an order has been prepared. 6.5 Taxes

8. Disclaimers and "As-Is" Basis

THE SITE AND ALL SERVICES, CONTENT, AND MATERIALS PROVIDED BY VIA 313 ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIA 313 EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR CURRENCY OF ANY INFORMATION, CONTENT, OR MATERIALS PROVIDED ON OR THROUGH THE SITE;
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE;

VIA 313 DOES NOT WARRANT THAT FOOD PRODUCTS WILL MEET YOUR SPECIFIC EXPECTATIONS OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED FROM CONSUMPTION. NUTRITIONAL INFORMATION, INGREDIENT LISTS, AND ALLERGEN DATA ARE PROVIDED IN GOOD FAITH BUT MAY BE SUBJECT TO VARIATION. CUSTOMERS WITH FOOD ALLERGIES OR DIETARY RESTRICTIONS SHOULD CONTACT US DIRECTLY BEFORE ORDERING.

Some jurisdictions do not allow the exclusion of implied warranties; therefore, some of the above exclusions may not apply to you. In such jurisdictions, the foregoing disclaimers shall be enforceable to the fullest extent permitted by applicable law.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE FEDERAL AND STATE LAW, IN NO EVENT SHALL VIA 313, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS, REVENUE, OR DATA;
  • LOSS OF BUSINESS OR BUSINESS OPPORTUNITIES;
  • LOSS OF GOODWILL;
  • PERSONAL INJURY OR PROPERTY DAMAGE;
  • ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN;
  • ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SITE;
  • ANY BUGS, VIRUSES, OR THE LIKE TRANSMITTED THROUGH THE SITE BY ANY THIRD PARTY;
  • ANY ERRORS OR OMISSIONS IN CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, TRANSMITTED, OR MADE AVAILABLE THROUGH THE SITE.

IN NO EVENT SHALL VIA 313'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO VIA 313 IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth above are fundamental elements of the basis of the bargain between Via 313 and you. Some states do not allow the exclusion or limitation of certain damages; in such states, Via 313's liability shall be limited to the fullest extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Via 313, its affiliates, licensors, service providers, employees, agents, officers, directors, and successors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Site or Services, including any orders placed through the Site;
  • Your User Content or any content you submit, post, or transmit through the Site;
  • Your violation of any rights of any third party, including intellectual property rights, privacy rights, or consumer protection rights;
  • Any misrepresentation made by you in connection with your use of the Services;
  • Your negligent or intentional misconduct.

Via 313 reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Via 313. Via 313 will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

11. Food Safety and Allergen Information

Via 313 takes food safety seriously and endeavors to provide accurate information about our menu items, including ingredients and potential allergens. However, our food is prepared in a kitchen environment that may handle common allergens including but not limited to nuts, dairy, gluten, shellfish, eggs, soy, and fish.

We cannot guarantee that any menu item is completely free from allergens or cross-contamination. Customers with known food allergies, sensitivities, or dietary restrictions are strongly encouraged to contact us directly at [email protected] prior to ordering to discuss your specific needs. Via 313 shall not be liable for any adverse reactions resulting from the consumption of our food products where you have failed to disclose relevant dietary restrictions or where you have chosen to consume items after being advised of potential allergen risks.

12. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information in connection with the Services is governed by our Privacy Policy, which is available on the Site and is incorporated into these Terms by this reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.

To the extent you are a resident of California, your rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) are described in our Privacy Policy. Via 313 complies with all applicable U.S. federal and state privacy laws, including the Children's Online Privacy Protection Act (COPPA). The Services are not directed to children under the age of 13, and we do not knowingly collect personal information from children under 13.

13. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and, to the extent applicable, the laws of the state in which Via 313 is registered and operates, without regard to any conflict of law provisions.

Subject to the dispute resolution provisions set forth in Section 14 below, you consent to the exclusive jurisdiction of the federal and state courts located in the United States for the resolution of any disputes not subject to arbitration. You waive any objection to the laying of venue of any such proceeding and waive any objection that such courts are an inconvenient forum.

Via 313's operations are subject to applicable U.S. federal laws, including but not limited to the Federal Trade Commission Act (15 U.S.C. § 41 et seq.), the Electronic Communications Privacy Act, the Computer Fraud and Abuse Act, and all other applicable federal and state consumer protection and food service regulations.

14. Dispute Resolution

14.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact Via 313 at [email protected] and attempt to resolve the dispute informally. Via 313 will attempt to resolve the dispute internally within thirty (30) days of receiving notice. If the dispute cannot be resolved informally within this period, either party may proceed to the dispute resolution mechanisms described below.

14.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except for disputes that qualify for small claims court and claims related to the protection of intellectual property rights, any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof, including any question regarding their existence, shall be finally determined by binding arbitration in accordance with the rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted in English in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both you and Via 313 agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions

Notwithstanding the foregoing, nothing in this Section shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, use of intellectual property, or unauthorized use of the Services.

15. Term and Termination

15.1 Term

These Terms shall remain in full force and effect for as long as you access or use the Site or Services. Certain provisions of these Terms, by their nature, shall survive termination or expiration, including but not limited to provisions relating to intellectual property, disclaimers, indemnification, limitation of liability, dispute resolution, and governing law.

15.2 Termination by You

You may terminate your account and your use of the Services at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligations incurred prior to termination, including any outstanding payment obligations.

15.3 Termination by Via 313

Via 313 reserves the right to suspend or terminate your account and access to the Services, with or without notice and with or without cause, including but not limited to if Via 313 determines, in its sole discretion, that you have violated these Terms, engaged in fraudulent or abusive conduct, or acted in a manner harmful to other users, third parties, or Via 313's business interests. Upon termination, your right to use the Site and Services shall immediately cease.

15.4 Effect of Termination

Upon termination of these Terms or your account for any reason, the following shall apply:

  • All licenses granted to you under these Terms shall immediately terminate;
  • You must cease all use of the Site and Services;
  • Via 313 may, but is not obligated to, delete your account and any associated data in accordance with our Privacy Policy;
  • Sections of these Terms that by their nature should survive termination will continue to remain in full force and effect.

16. Changes to These Terms

Via 313 reserves the right to revise, modify, or update these Terms of Service at any time at its sole discretion. When we make changes to these Terms, we will update the "Last Updated" date at the top of this page and, where appropriate or required by applicable law, notify you via email or through a prominent notice on the Site.

Your continued use of the Site or Services following the posting of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site and Services immediately. We encourage you to review these Terms periodically to stay informed of your rights and obligations.

Changes to these Terms will not apply retroactively and will only govern disputes arising after the effective date of the revised Terms, except as otherwise required by applicable law.

17. Severability

If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or void, in whole or in part, for any reason, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision, and all remaining provisions shall continue in full force and effect as if the invalid or unenforceable provision had never been included.

The parties agree that in the event of such severance, they will use commercially reasonable efforts to replace any invalid or unenforceable provision with a valid and enforceable provision that achieves, to the greatest extent possible, the economic, business, and legal purposes of the original provision.

18. Entire Agreement and Waiver

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Site by Via 313, constitute the entire agreement between you and Via 313 concerning your use of the Site and Services and supersede all prior and contemporaneous agreements, representations, warranties, and understandings, whether oral or written, between you and Via 313 regarding the subject matter herein.

No waiver of any term or condition of these Terms by Via 313 shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Via 313's failure to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Via 313.

19. Force Majeure

Via 313 shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond Via 313's reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government restrictions, labor disputes, power outages, internet service disruptions, supply chain failures, acts of war or terrorism, or any other event beyond our reasonable control ("Force Majeure Event"). In the event of a Force Majeure Event, Via 313's obligations shall be suspended for the duration of such event, and Via 313 shall resume performance as soon as reasonably practicable.

20. Electronic Communications and Consent

By using the Site or providing your contact information to Via 313, you consent to receive electronic communications from us, including but not limited to order confirmations, updates, promotional offers, and administrative notices. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law.

If you no longer wish to receive marketing or promotional communications, you may opt out at any time by following the unsubscribe instructions provided in our communications or by contacting us directly at [email protected]. Note that even after opting out of marketing communications, you will continue to receive transactional and administrative communications related to your orders and account.
